1. Introduction & Acceptance of Terms

Welcome to PwrOn ("Company," "we," or "us"), a Washington State-based provider of services for portable battery power stations offering two services: a marketplace (“Marketplace”) and a subscription backup power service (“Subscription”). These Terms of Use ("Terms") between Company and you (“You”) govern your access to and use of the PwrOn website and services (collectively, the "Service") in the capacity of one or more of the following roles:

  1. Delivery Partners (“Delivery Partners”) for Company’s Subscription Service, and/or
  2. Hosts (“Hosts”) for Company’s Marketplace Service,
  3. Subscribers (“Subscribers”) for Company’s Subscription Service, and/or
  4. Users (“Users”) for Company’s Marketplace Service,

By accessing, subscribing to, or using our Service, You agree to be bound by these Terms including the relevant Exhibits detailing associated Business Terms for those roles. Delivery Partners also accept a portable power station (“Equipment”) provided by Company under these Terms. If You do not agree with any part of these Terms, You must not use the Service. Please read them carefully.

By using the Service, You also agree to our Privacy Policy, which is referenced herein, You affirm that You are of legal age and capacity to enter into this agreement. If You are using the Service on behalf of an organization or other entity, You represent that You have the authority to bind that entity to these Terms.

2. Definitions and Service Descriptions

  • "All Equipment" means any portable power station (“Equipment”) or accessory (“Delivery Accessibility Equipment”) provided under this Subscription.

  • “Business Terms” means those commercial elements for these Terms as detailed in Exhibits

  • “Delivery” means the transportation and transfer of a portable power station by Delivery Partner to a Subscriber and also includes the related Pickup of the portable power station by Delivery Partner from a Subscriber

  • “Delivery Partner” means those Delivery Partners with whom Company authorizes under these Terms to Deliver Company’s portable power stations to Subscribers and Pickup of Company’s portable power stations from Subscribers.

  • Equipment" means any portable battery power station or accessory provided under this Subscription.

  • "Services" means the Marketplace or Subscription services and support provided under this Subscription.

  • "Subscription Plan" means the tiered offering selected by Subscriber.

  • “Subscriber” means anyone who has a subscription to the Service provided by Company.

  • “Typical Delivery” means when < 50,000 consumers in the local electric utility coverage area are affected by power outages

  • “Major Outage Delivery” means when >= 50,000 and <250,000 consumers in the local electric utility coverage area are affected by power outages

  • “Severe Outage Delivery” means when >= 250,000 consumers in the local electric utility coverage area are affected by power outages

  • “Urban Area” means an area with a population of >= 50,000 people and a population density of 1,000+ people / square mile, excluding those specific cities noted under the “Most Congested Area” list.

  • “Rural Area” means an area which is not classified as Urban or Suburban and has a population of < 50,000 people with population density of < 500 people / square mile

  • “Most Congested Area” refers to the following list of top 30 U.S. cities which have chronic driving delays due to a combination of traffic hours lost and parking difficulty which contribute to longer delivery times: Atlanta (GA), Austin (TX), Baltimore (MD), Boston (MA), Charlotte (NC), Chicago (IL), Columbus (OH), Dallas (TX), Denver (CO), Detroit (MI), Houston (TX, Indianapolis (IN), Jacksonville (FL), Los Angeles (CA), Miami (FL), Nashville (TN), New York (NY), Orlando (FL), Philadelphia (PA), Phoenix (AZ), Portland (OR), Riverside-San Bernardino (CA), Sacramento (CA), San Antonio (TX), San Diego (CA), San Francisco (CA), Seattle (WA), Tampa-St. Petersburg (FL), Virginia Beach (VA),and Washington (DC).

Marketplace Service:

Service Description: Company provides a marketplace (“Marketplace”) for portable battery power stations (“Equipment”) where providers of Equipment (“Hosts”) can list such Equipment for rental by renters of Equipment (“Users”) who are collectively considered “Members”. Marketplace is not directly involved in the rental or sale transactions themselves, except for facilitating the connection and payment processing. Equipment can be rented for a range of use cases including power outages, camping / recreational use, and outdoor events. Using Marketplace, Users can rent Equipment as needed from Hosts and then coordinate for delivery or pickup of the Equipment. Marketplace will list the Equipment available nearby Users so that Users can rent Equipment conveniently located from nearby Hosts (“Rental”).

Use of Equipment: Users can use Equipment for the agreed rental period (“Use Window”). After the Use Window, User must either return Equipment to Host or arrange pickup of Equipment by Host as agreed between User and Host.

Subscription Service:

Service Description: Company provides a subscription-based backup power service. Subscribers can request a portable battery power station on demand during a power outage or when backup power is needed. Upon a valid request (via our app, website, text, or phone call), Company will deliver a battery power station to your designated location within our service area. The portable battery power station is a clean, quiet, and safe battery unit intended to support essential household functions (such as running refrigerators, internet routers, lights, and portable devices) during an outage.

Service Fulfillment: New Subscribers will be able to request service following a setup period of 10 business days after completion of a subscription and there is no queue for service.

Equipment: Company will provide Delivery Partner Equipment and may also provide suitable devices (“Delivery Accessibility Equipment”) to assist Delivery Partner to safely deliver Equipment to the Subscriber without injuries or damage to the Subscriber’s Residence.

Use of Equipment: The delivered power station is provided to Subscriber for temporary use during the outage or emergency and is limited under the above plans to 1 day of use per delivery (“Use Window”) . Ownership of the power station remains with Company, Delivery Partners, or other Authorized Distribution Partners at all times. After the Use Window, your need for backup power ends, or your subscription is terminated, Subscriber must return the power station to Company (or made available for pickup) in accordance with Company instructions.

3. Grant of License & Intellectual Property

License Grant: Subject to the terms of this Agreement, Company grants You a limited, non-exclusive, non-transferable license to use the Services during the Subscription Term.

Intellectual Property: Company retains all rights, title, and interest in the Services and associated content. No transfer of intellectual property is made under this Agreement.

4. Your Responsibilities

By using Company Service, You agree to the following responsibilities. Failure to meet these responsibilities may result in additional fees, termination of Your access to Company Marketplace or Subscription services, and/or legal action, as appropriate.

Subscriber:

Proper Use: Use the backup power station only as intended and in accordance with the user guides or instructions provided. Do not attempt to modify, disassemble, or repair the unit.

Care for Equipment: Exercise reasonable care in handling and using the power station. Do not damage, abuse, or misuse the equipment. Keep the unit in a safe environment (indoors, away from water and extreme heat or cold) and do not expose it to hazardous conditions.

Return of Equipment: Once power is restored, the Use Window, or You no longer need the backup power, You agree to arrange for the prompt return of the power station to PwrOn, following the return procedures Company provides. The equipment should be returned in the same condition as it was delivered, ordinary wear and tear excepted.

Security and Possession: You are responsible for the power station from the time it is delivered to You until it is returned to us. Do not lend, rent, or transfer the equipment to any third party outside Your household. If the power station is lost, stolen, or damaged while in Your possession (beyond normal wear and tear), You must promptly notify PwrOn and You may be held financially responsible for repair or replacement costs.

Compliance with Laws and Safety: Use the Service and equipment in compliance with all applicable laws, regulations, and safety standards. Do not use the power station for any unlawful purpose or in a manner that could endanger persons or property.

User:

Billing, Payment, and Credit: User must provide a valid payment method (such as a credit card) when registering for the Marketplace. User authorizes Service to charge User’s provided payment method for the rental fees or other charges User may incur (e.g., fees for unreturned or damaged equipment, as described below). Charges will be billed when Rental is confirmed between Host & User. If any payment is not successfully processed (due to expiration, insufficient funds, or otherwise), Service may suspend or terminate User’s access to the Service until payment is resolved. User is responsible for any fees or penalties imposed by User’s payment provider for failed charges. If any credits are due to User, Service will promptly refund those payments or apply those credits to the valid payment method.

Equipment Deposit or Fee: Service reserves the right to charge a refundable security deposit or an equipment fee at the start of User’s Rental Order. Details of any such deposit/fee will be communicated to User in advance. This deposit may be used to offset costs if User fails to return Equipment or if Equipment is returned damaged.

Rental Cancellation and Refunds: Users may cancel proposed bookings prior to the start of the User’s Rental, however, the amount refunded to the User for those bookings will depend on how far in advance the cancellation is relative to the requested start of the booking. Cancellations made within 48 hours prior to the scheduled booking will not be refunded. Cancellations made over 48 hours prior to scheduled booking will receive a full (100%) refund. Please note that no refund will apply in the event of “no shows” where bookings are not cancelled but the User doesn’t receive the device.

Service Cancellation and Termination: User may cancel your access to Service at any time by contacting Company customer support or using the account management tools provided. Cancellation will be effective after the completion of any Equipment Rentals and payment has been received.

Desired Rental Parameters: User agrees to provide the desired Rental Parameters - including the following:

  • User’s target Rental Dates,
  • User’s preferred Equipment Delivery and Pickup mechanism (e.g., Host Delivers and Picks Up Equipment, User Picks Up and Returns Equipment, or either option is acceptable)
  • User’s target Equipment device size (e.g., small, medium, or large as indicated on Marketplace)
  • If applicable, User’s target Equipment manufacturer(s) and Equipment Model(s)
  • If applicable, User’s Address for Host to Deliver and Pick Up Equipment.

Proper Use: Use Equipment only as intended and in accordance with the user guides or instructions provided. Do not attempt to modify, disassemble, or repair the unit.

Care for Equipment: Exercise reasonable care in handling and using Equipment. Do not damage, abuse, or misuse Equipment. Keep Equipment in a safe environment (away from water and extreme heat or cold) and do not expose it to hazardous conditions.

Return of Equipment: By the end of the Use Window, User agrees to arrange for the prompt return of Equipment to Host, following the return procedures Service or Host provides. Equipment should be returned in the same condition as it was delivered, ordinary wear and tear excepted.

Security and Possession: User is responsible for Equipment from the time User receives it until it is returned to Host. Do not lend, rent, or transfer the equipment to any third party outside your household. If the Equipment is lost, stolen, or damaged while in your possession (beyond normal wear and tear), User must promptly notify Company and User may be held financially responsible for repair or replacement costs.

Compliance with Laws and Safety: Use the Service and Equipment in compliance with all applicable laws, regulations, and safety standards. Do not use Equipment for any unlawful purpose or in a manner that could endanger persons or property.

Host:

Billing, Payment, and Credit: Host must provide a valid payment method (such as a credit card) when registering for the Service. Host authorizes Service to charge Host’s provided payment method for any fees or other charges Host may incur (e.g., fees for an incomplete or unsatisfactory Rental, as described below). If applicable, Charges will be billed when User notifies Service of an incomplete or unsatisfactory Rental. If any payment is not successfully processed (due to expiration, insufficient funds, or otherwise), Service may suspend or terminate Host access to the Service until payment is resolved. Host is responsible for any fees or penalties imposed by Host’s payment provider for failed charges. If any credits are due to Host, Service will promptly refund those payments or apply those credits to the valid payment method.

Cancellation and Termination: Host may cancel access to Service at any time by contacting Company customer support or using the account management tools provided. Cancellation will be effective after the completion of any Equipment Rentals and payment has been received.

Accurate Listing Information: Host shall provide accurate listing information for

  • Equipment, including the manufacturer, model number, and year of purchase
  • available Rental Dates and
  • applicable Rental Fees though Marketplace will provide a default example Rental fee,
  • Host’s preferred Equipment Delivery and Pickup mechanism (e.g., Host Delivers and Picks Up Equipment, User Picks Up and Returns Equipment, or either option is acceptable)
  • Host’s Delivery fees (if applicable) though Marketplace will provide a default example Delivery fee (for round-trip Delivery and Pickup) and associated Delivery distance (one-way driving distance).
  • If applicable, Host’s Address for User to Pick Up and Drop Off Equipment.

Marketplace Platform Fees: Host agrees that while User shall pay those Rental Fees which are agreed on the Service, such Rental Fees exclude the costs of Marketplace Platform Fees which shall be deducted from such Rental Fees. Company shall identify to the Host in each proposed Rental the Marketplace Platform Fees for each proposed Rental and Company shall pay Host the Rental Fees minus the Marketplace Platform Fees (resulting in the “Net Rental Fees”).

Proper Instructions: If applicable, Host shall provide user guides or instructions (collectively “Instructions”) to guide User in appropriate use or use restrictions for Equipment. If Host does not provide Instructions, User is not be restricted in use of Equipment.

Care for Equipment: Host shall maintain Equipment in suitable condition for rental - charged and clean. Before and after Rentals, keep Equipment in a safe environment (indoors, away from water and extreme heat or cold) and do not expose it to hazardous conditions.

Return of Equipment: By the end of the Use Window, Host shall either pickup Equipment from User or User will deliver Equipment to Host as agreed between User and Host, following the return procedures Service or Host provides.

Delivery Partner:

Proper Use: Use Equipment only as intended and in accordance with the user guides or instructions provided by the Company. Do not attempt to modify, disassemble, or repair the unit. Delivery Partner may utilise the Equipment for personal use when not fulfilling delivery obligations.

Maintenance:

  • Ensure Equipment is fully charged, functional, and ready for delivery when needed.
  • Ensure Delivery Accessibility Equipment is functional and ready for use when needed.
  • Report any issues or malfunctions with Equipment or Delivery Accessibility Equipment to Company immediately.

Damage or Loss:

  • Delivery Partner is responsible for the repair or replacement costs of Equipment or Delivery Accessibility Equipment due to negligence or misuse.
  • Normal wear and tear of Equipment or Delivery Accessibility Equipment will be handled by the Company.

Compliance with Laws and Safety: Use the Service and equipment in compliance with all applicable laws, regulations, and safety standards. Do not use Equipment for any unlawful purpose or in a manner that could endanger persons or property.

5.Your Consequences

By using our Service, You agree to the following consequences.

Delivery Partner

Non-Compliance:

  • Failure to meet the Quarterly Delivery Commitment requirement results in repossession of Equipment and Delivery Accessibility Equipment.
  • Voluntary return of Equipment and Delivery Accessibility Equipment is an alternative to avoid penalties or fees associated with repossession.

Damage:

  • Damage to Subscriber’s property will result in reimbursement by Delivery Partner to Company for any fees Company pays to the Subscriber for such damages.
  • Damage to Subscriber’s property may also result in repossession of Equipment and Delivery Accessibility Equipment by the Company.
  • Voluntary return of Equipment and Delivery Accessibility Equipment is an alternative to avoid penalties or fees associated with repossession.

Host:

Non-compliance:

  • Failure to meet these responsibilities may result in additional fees, termination of Host’s Marketplace access, and/or legal action, as appropriate.

Damage:

  • Damage to User’s Subscriber’s property will result in reimbursement by HostDelivery Partner to Company for any fees Company pays to the IUserSubscriber for such damages.
  • Damage to UserSubscriber’s property may also result in termination of Host’s Marketplace access.repossession of Equipment and Delivery Accessibility Equipment by the Company.
  • Voluntary return of Equipment and Delivery Accessibility Equipment is an alternative to avoid penalties or fees associated with repossession.

6 Payment & Subscription Terms

Subscribers:

Subscription Plans and Fees: Company offers the PwrOn Service as a subscription service with recurring fees. By enrolling, Subscriber agrees to pay the subscription charges and any applicable taxes on a periodic basis (annually) as outlined when Subscriber signed up. Pricing details, billing frequency, and what is included in Subscriber’s plan (such as a certain number of deliveries or duration of use) are provided on Company’s website or in Subscriber’s service agreement.

Billing and Payment: Subscriber must provide a valid payment method (such as a credit card) when subscribing. Subscriber authorizes Company to charge Subscriber’s provided payment method for the recurring subscription fees and any other charges Subscriber may incur (e.g., fees for unreturned or damaged equipment, as described below). Charges will be billed in advance of each subscription period. If any payment is not successfully processed (due to expiration, insufficient funds, or otherwise), Company may suspend or terminate Subscriber’s access to the Service until payment is resolved. Subscriber is responsible for any fees or penalties imposed by Subscriber’s payment provider for failed charges.

Equipment Deposit or Fee: Company reserves the right to charge a refundable security deposit or Equipment fee at the start of Subscriber’s subscription or prior to delivering Equipment. Details of any such deposit/fee will be communicated to Subscriber in advance. This deposit may be used to offset costs if Subscriber fails to return Equipment or if it is returned damaged.

Cancellation and Termination: Subscriber may cancel Subscriber’s subscription at any time by contacting Company customer support or using the account management tools provided. Cancellation will be effective at the end of Subscriber’s current billing cycle, and Subscriber will not be charged for subsequent periods (Company does not provide pro-rated refunds for mid-cycle cancellation unless required by law). Upon cancellation or termination of Subscriber’s subscription, Subscriber must return any portable power station equipment in Subscriber’s possession to Company within 10 business days If Subscriber cancels Subscriber’s subscription but does not return the equipment as required,Company may charge Subscriber’s payment method for the value of the unreturned unit or take other actions to retrieve Company’s property.

Changes to Fees: Company may change Company’s pricing at any time. If Company does, Company will notify Subscriber via Subscriber's designated email address of any changes in future pricing.

Delivery Partners:

Term Duration: Annual contract with automatic renewal upon meeting the Delivery and Fee obligations.

Termination by Delivery Partner: Delivery Partners can opt out at any time by returning Equipment and Delivery Accessibility Equipment in good condition.

Termination by Company: Failure to meet Delivery or payment obligations may result in contract termination and repossession of Equipment and Delivery Accessibility Equipment

Repossession Process: Non-compliance triggers repossession of Equipment and Delivery Accessibility Equipment, with Delivery Partners responsible for fees of Equipment and Delivery Accessibility Equipment are not returned voluntarily within 10 days of termination.

Voluntary Return: Delivery Partners can voluntarily return Equipment at the end of their participation

Hosts:

Marketplace Platform Fees: Host agrees that while User shall pay those Rental Fees which are agreed on the Service, such Rental Fees exclude the costs of Marketplace Platform Fees which shall be deducted from such Rental Fees. For Hosts covered under this Agreement, as Company is providing the Equipment, the Marketplace Rental Fees are to be set to the default proposed daily Rental rates in the Marketplace and Marketplace Platform Fees are set at 50% of the Rental Fees. Company shall identify to the Host in each proposed Rental the Marketplace Platform Fees for each proposed Rental and Company shall pay Host the Rental Fees minus the Marketplace Platform Fees (resulting in the “Net Rental Fees”).

Earnings Disbursement: Payments for Confirmed successful Deliveries are made through the Company within two weeks.

Penalties and Deductions: Late or missed deliveries, damage to Equipment damage, or failure to return Equipment upon request may result in Fees.

7. Liability & Disclaimers

Privacy and Data use: Your data will be collected and utilized in accordance with the Company Privacy Policy

Subscription Service Availability: Company strives to provide reliable service and timely delivery of power stations, but Company does not guarantee that a power station will always be available on demand. Delivery times, are estimates and may be affected by factors beyond our control . You acknowledge that backup power stations have limited capacity and runtime, and You are responsible for using the provided power wisely to support essential functions.

Marketplace Role and Service Availability: The Marketplace is a platform and is not directly responsible for the condition or performance of the Equipment or the actions of Hosts or Users. Company DOES NOT GUARANTEE that Equipment will always be available on demand. Equipment availability is affected by factors beyond our control.

No Warranty: The Service (including any hardware, such as the power station) is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Company disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Company does not warrant that the Service will be uninterrupted, error-free, or free of defects, or that any defects will be corrected.

Limitation of Liability: To the maximum extent permitted by law, Company and its officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, loss of data, loss of use, cost of procurement of substitute services, or any other intangible losses, arising out of or related to Your use of (or inability to use) the Service or Equipment. In no event shall the total liability of Company for all claims arising under or relating to these Terms exceed the amount Company paid to You in the twelve (12) months prior to the claim.

Indemnification: You agree to indemnify and hold harmless Company and its affiliates and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of Your breach of these Terms, Your misuse of Equipment or Service, or Your violation of any law or rights of any third party in the course of using the Service.

Damage or Injury: Company is not responsible for any injury, damage, or loss to You or Your property arising from the improper use of the power station. You assume all responsibility for the installation and operation of Equipment in accordance with the provided instructions.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. In such jurisdictions, the above disclaimers and limitations will apply to the greatest extent permitted by law.

8. Governing Law, Assignment & Notices

Governing Law: These Terms and any dispute or claim arising from or related to the Service or the Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. By using the Service, You agree that any disputes arising out of or relating to these Terms shall be subject to the personal and exclusive jurisdiction of the state or federal courts located within Washington. You waive any objections to such jurisdiction or venue, including on grounds of inconvenient forum.

Assignment: These Terms may not be assigned without prior written consent.

9. Changes to Terms & Contact Information

Changes to Terms: Company reserves the right to modify or update these Terms at any time. By continuing to use the Service after any changes to these Terms become effective, You agree to be bound by the revised Terms**.**

Exhibit 1: Additional Subscriber Business Terms

1. Subscription Plan Pricing and Fees:

Company subscription plan (“PwrOn service”) prices and fees are summarized below:

2. Equipment Delivery:

Equipment Delivery will typically occur from within a nearby location. Under normal circumstances, Delivery requests will result in Deliveries within 30 minutes from request. However, Company delivery commitments are summarized below by

  • Note: During an active emergency weather situation (e.g., major wildfire, flooding, hurricane, tornado, etc.) Delivery Partners would be endangered doing deliveries or when local roads are rendered impassable. As a result, during these conditions, Equipment Delivery will pause until it is safe for Delivery Partners to resume deliveries.

3. Failure to Deliver:

If Company doesn’t deliver Equipment on time, Company will credit Subscriber’s Subscription with an additional Equipment Delivery during the remainder of Subscriber’s subscription year.

4. Delivery and Pickup Service:

Subscriber requests Delivery of Equipment by contacting the Company by phone, text or computer. Company provides Delivery and Pickup service for Equipment by Delivery Partner to Subscriber’s residence door. Delivery will conclude with a doorbell ring and confirmation of receipt of Equipment by the Subscriber. If the Subscriber does not respond to the doorbell ring, then the Delivery Partner will leave Equipment at the Subscriber’s front door and take a photo as confirmation of Delivery. When a Subscriber is ready to return Equipment, simply contact Company by phone, text or computer to request a pickup by a Delivery Partner of Equipment from a Subscriber’s residence door.

5. Annual Equipment Delivery Coverage:

Subscriber is eligible to receive Delivery of Equipment along with an associated Pickup after the power outage a number of times annually (“Annual Deliveries”) as summarized below:

6. Additional Equipment Needs:

Subscriber needing backup power coverage a) beyond their Annual Delivery (“Additional Delivery”), or b) to replace a depleted Equipment (“Refill”) can request additional Equipment Delivery and Company will attempt to provide a replacement Equipment. Note that while the two types of Additional Deliveries are similar, Company provides additional value to Subscriber by offering a discounted rate to help in the case of a Subscriber who needs a Refill to provide coverage for an extended outage event. See fees as summarized below:

7. Equipment Capabilities:

Depending on the Subscription plan selected, larger Equipment capacities can enable operation of additional devices (or extend backup power outage duration) as summarized below:

8. Typical Equipment Use:

The standard way to use Company Equipment in Subscriber’s residence is for Subscriber to plug the devices (or associated extension cords) Subscriber wants to charge directly into the power outlets on Equipment. If Subscriber wants to use a transfer switch Subscriber needs to either a) have an existing transfer switch or b) purchase and install a transfer switch at their own expense.

1. Equipment Delivery:

Equipment Delivery will typically occur from within a nearby location. Under normal circumstances, Delivery Requests will result in Deliveries within 30 minutes from request. These Delivery time windows include the response from the Delivery Partner to the Delivery Request. However, Company Delivery commitments are summarized below:

  • Note: During an emergency weather situation (e.g., major wildfire, hurricane, tornado, etc.) Delivery Partner would be endangered doing deliveries or when local roads are rendered impassable. As a result, during these conditions, Equipment Delivery will pause until it is safe for Delivery Partners to resume Deliveries.

2. Delivery and Pickup Process:

  • Delivery Process:

    • Subscriber requests Equipment Delivery by contacting Company by phone, text or computer.

    • Company periodically initiates requests to the Delivery Partner to perform a Delivery and provides a Subscriber Dropoff location.

    • Delivery Partner shall respond to this request within 5 minutes advising if they accept or decline the Delivery Request.

    • If Delivery Partner declines the Delivery Request, the Delivery Request is reassigned to another Delivery Partner.

    • If Delivery Partner accepts the Delivery Request, Company provides Subscriber Delivery and Subscriber Pickup location for Delivery Partner to Deliver Equipment to a Subscriber’s residence door.

    • Delivery will conclude with a doorbell ring and confirmation of receipt of the Equipment by the Subscriber.

    • If the Subscriber does not respond to the doorbell ring, then the Delivery Partner will leave the Equipment at the Subscriber’s front door and take a photo as confirmation of Delivery.

  • Pickup Process:

    • Subscriber requests Pickup of Equipment by contacting Company by phone, text or computer.
    • Company will periodically initiate requests to Delivery Partner to perform a Pickup and provide a Subscriber Pickup location.
    • Delivery Partner shall respond to this request within 5 minutes advising when they are able to perform this Pickup within a 24 hour window - though a Pickup within hours is preferred when possible.
    • Delivery Partner shall Pickup Equipment, and return it to Delivery Partner’s location to be re-charged.
    • Delivery Partner will then re-charge Equipment so it is available for both Delivery Partner’s own use and the next Delivery.
    • Note that the Pickup is required for each Delivery in order to ensure that Equipment is available for the Delivery Partner to re-charge so that it is ready for the next Delivery.
    • Failure to meet these responsibilities may result in fees, termination of this Agreement, and/or legal action, as appropriate.

3. Incentives and Earnings

  • Equipment Fees: In lieu of Delivery Partner paying Company Equipment Fees, Delivery Partner commits to those items detailed under Delivery Commitment section below will pay Company monthly access fees unless waived by meeting the Quarterly Delivery Commitment.

  • Delivery Commitment:
    • List Equipment on Company Marketplace as a Host and make it available.
    • Prioritize any requests from Company for Delivery to Company Subscribers when received over any unconfirmed Rental requests from Users of Company Marketplace.
    • Successfully Deliver to Company Subscribers at least once per quarter if such Delivery requests are received in that quarter.
    • Participate in any relevant training or onboarding to understand Delivery protocols.
  • Delivery and Pickup Incentives:
    • Meeting the Quarterly Delivery Commitment and Listing Equipment on Company Marketplace as a Host waives any Equipment Fees.
    • All Deliveries made to Company Subscribers will be compensated as specified in the below table

4. Payment and Financial Obligations

  • Earnings Disbursement:
    • Payments for Confirmed successful Deliveries are made through the Company within two weeks.
  • Penalties and Deductions:
  • Late or missed deliveries, damage to Equipment damage, or failure to return Equipment upon request may result in Fees.

5. Company Support

  • Onboarding and Training:
    • Initial and periodic training sessions to guide Delivery Partners on delivery protocols, troubleshooting, and customer interaction.
  • Technical Support:
    • Access to technical support for troubleshooting Equipment or Delivery Accessibility Equipment
  • Insurance Coverage:
    • The Company will not provide any insurance to Delivery Partner. Delivery Partner is responsible to maintain automobile insurance for their vehicle.
  • Performance Review and Feedback:
    • Metrics:
      • Rates of Confirmed Deliveries (versus deliveries which are not Confirmed), timeliness, and customer feedback are monitored.
    • Company Feedback:
      • Delivery Partners can provide feedback to improve the Company or address concerns.

6. Marketplace Platform Fees:

  • Host agrees that while User shall pay those Rental Fees which are agreed on the Service, such Rental Fees exclude the costs of Marketplace Platform Fees which shall be deducted from such Rental Fees. For Hosts covered under this Agreement, as Company is providing the Equipment, the Marketplace Rental Fees are to be set to the default proposed daily Rental rates in the Marketplace and Marketplace Platform Fees are set at 50% of the Rental Fees. Company shall identify to the Host in each proposed Rental the Marketplace Platform Fees for each proposed Rental and Company shall pay Host the Rental Fees minus the Marketplace Platform Fees (resulting in the “Net Rental Fees”).
